Technical Committee

The Technical Committee must be composed of a maximum of 21 members, and at least 25% of them must be independent. Independence will be determined by the Certificateholders’ Meeting in relation to the Settlor, the Manager, the investment trusts, or any Related Party to those entities. For each principal member, a corresponding alternate member may be appointed.

Each appointment of Technical Committee members made under the terms of the Trust Agreement is notified in writing to the Trustee; such notices are accompanied by the information and documentation required by the Trustee in accordance with the Trustee’s current Client Identification and Know-Your-Customer (KYC) Policies.

Audit and Corporate Practices Committee

Among its main functions is discussing the quarterly and annual Financial Statements and recommending to the Technical Committee whether or not to approve them. It also evaluates the performance of the External Auditor and reviews any opinions, reports, findings, or other deliverables prepared by the auditor. It provides its opinion to the Technical Committee regarding transactions entered into with Related Parties and, in general, on significant transactions carried out (or to be carried out) by the Trust. It is composed of three members representing the Technical Committee, including its Chair.

Investment Committee

The Trust has an Investment Committee, which is not formed as an auxiliary committee of the Technical Committee, but as an independent committee. This committee was established as a preliminary forum for the Technical Committee, where all matters of interest are reviewed in advance. It has veto power, since all approvals must be supported by a majority vote.
